Paul J. Petras, is a transactional attorney based in Manhasset, New York with an active New York City clientele. Paul’s practice encompasses all aspects of commercial and residential real estate investments from single asset and multi-property acquisitions and dispositions to representation of borrowers and private lenders in connection with mortgage, mezzanine and asset based financing. He has extensive experience in commercial leasing and has worked with dozens of tenants and landlords in connection with retail “brick and mortar” operations in New York City. Paul has represented many private landlords in connection with leases to major retail operators, including 7-Eleven, Capital One Bank, Claire’s, City MD, CVS, Duane Reade, Dunkin’ Donuts, GameStop, GNC, H&H Bagels Midtown East, Metro PCS, New York Community Bank, Payless Shoe Source (including recent bankruptcy), Shoprite, Verizon Wireless, and most recently, two internet based vendors, Bonobos of Cobble Hill and Smile Direct in Greenwich Village. As a tenants’ attorney, Paul is an experienced negotiator dealing with the city’s most prominent landlords, including SL Green Realty Corp., Vornado Realty Trust, Boston Properties, The Feil Organization, RXR Realty, Callahan Capital Partners and Disney. to PAX Ventures LLC, owner and operator of thirty-two (32) retail food establishments in Manhattan doing business as Europa Café and PAX Wholesome Foods.  Represent all affiliated entities for retail and office leases, revolving loan facilities and corporate operations, including drafting and negotiation of all business documentation, operating and shareholder agreements.  2001 to Present.

General Corporate Counsel
to EAX Group, owner and operator of seven retail food establishments in Manhattan doing business as Oxford Café and Jou Jou Café.  Represent all affiliated entities for retail and office leases, loan facilities and corporate operations, import and export agreements, including drafting and negotiation of all business documentation, operating and shareholder agreements.  2001 to Present.

Franchisee’s Counsel
to Friday’s Karisias, S.A. and all Greek franchisees of TGI Friday’s Inc. for exclusive franchise rights for Greece; Drafted and negotiated numerous modifications of Royalty Agreements for economic relieve during financial crises. 2007 to Present.

to Heladim Limited (Gourmet Burger Kitchen franchisee) for Greece and Cypress (with ROFR for Balkan Countries) for exclusive development and franchise rights issued by GBK Franchises Limited (Closed in London, UK); Drafted and negotiated all documentation, including United Stated Lock-Out Agreement. 3420 Realty LLC in acquisition of multifamily property located at 34-20 30th Avenue, Astoria, New York for $12,000,000.00 with $6,380,000.00 loan assumption. November, 2011.

Woodside 65 LLC in acquisition of multifamily property located at 42-25 65th Place, Woodside, New York 11377 for $7,625,000.00 with $4,625,000.00.  September, 2010.

Represented Purchaser,
59-16 Gardens LLC in acquisition of multifamily property located at 59-16 Woodside Avenue, Woodside, New York for $9,850,000.00 with $6,100,000.00 loan. May, 2010.         

Represented Purchaser,
Xenop BC Realty, LLC in acquisition of shopping center located in Bensalem, Pennsylvania for $13,600,000.00 with $8,000,000.00 loan. December 2009.                     

Lender’s Counsel
to numerous private lenders including CJ Capital Group Inc., Haryn Capital Corp., Aristides Capital Corp., and Eastern Capital Group, LLC.  Commercial financing of real estate assets, including developments in New York, New Jersey, Connecticut and Ohio (associate with outside counsel for out-of-state documentation and opinions). 2004 to Present.

Borrower’s Counsel
to numerous privately owned real estate operators, closing in excess of $50,000,000.00 in loans in last two (2) years secured by real assets and equity (mezzanine) interests.  Numerous opinions issued to Dime Savings Bank of Williamsburg, Sovereign Bank, New York Community Bank, Flushing Saving Bank, Wells Fargo Bank, Capital One, N.A. and several national and regional lenders.

Leasing Counsel
